Terms & Conditions

Effective Date: March 2025 · Applicable to All Client Engagements

1. Agreement & Acceptance

These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“Client”, “you”) and AshuTech (“AshuTech”, “we”, “us”), an independent software engineering studio founded by Ashu Anand, operating from Banka, Bihar, India.

By commissioning a project, accepting a formal project proposal, or submitting a milestone payment via our website or authorized payment gateways, you acknowledge that you have read, understood, and agree to be bound by these Terms.

2. Scope of Services

AshuTech provides custom professional IT and digital development services, including:

  • Website & Web App Development: Responsive websites, SaaS frontends, Next.js / React platforms, and custom administrative interfaces.
  • Android Application Development: Native Android applications built with Kotlin and Java, MVVM architecture, Firebase integrations, and signed build packages.
  • Business Automation Solutions: Custom Python scripts, bots, workflow tools, and data processing pipelines.
  • APIs & Systems Integration: RESTful API engineering, webhooks, and third-party SaaS connections.
  • Custom Technology Solutions: Technical architecture consultation, performance optimization, and codebase refactoring.

All engagements are scoped on a custom project basis. Detailed deliverables, specifications, and timelines are documented in an agreed project proposal before work commences.

3. Client Responsibilities

To ensure project success and timely delivery, the Client agrees to:

  • Provide accurate, complete project requirements, assets, design files, and necessary API credentials in a timely manner.
  • Review milestone builds and provide consolidated, constructive feedback within the agreed review window (typically 5–7 business days).
  • Ensure all text, graphics, trademarks, and third-party materials supplied to AshuTech do not infringe upon any third-party intellectual property rights.
  • Appoint a primary point of contact authorized to make technical decisions and approve milestone deliverables.

4. Commercial Terms, Quotations & Payment

Transparent Milestone Billing: Projects are billed according to an approved itemized proposal. Final pricing is always communicated to and agreed upon by the Client before any payment is initiated.

Payment Gateways: Digital payments are processed through authorized payment aggregators (including Paytm Payment Gateway, UPI, Credit/Debit Cards, Netbanking, and direct bank transfers). AshuTech does not store sensitive card data on its servers.

Milestone Schedule: Payments are structured across verifiable milestones (e.g., Kickoff & Architecture, Functional Prototype/Beta, and Final QA & Handover). Work on subsequent milestones commences only upon successful settlement of the preceding milestone.

Taxes & Currency: All quotations are provided in Indian Rupees (INR) unless explicitly agreed in writing for international wire transfers.

5. Project Timelines & Delivery

Estimated delivery timelines are provided in the written project proposal. AshuTech makes every reasonable effort to deliver ahead of schedule. However, project timelines depend heavily on prompt Client feedback, asset delivery, and external API responsiveness.

6. Revisions & Scope Adjustments

Each milestone includes reasonable revisions within the agreed scope to address functional discrepancies or styling adjustments. Substantial changes to the scope, architecture, or features requested after milestone approval will be documented in a separate written addendum with corresponding timeline and pricing adjustments.

7. Intellectual Property Rights

Client Ownership: Upon full and final settlement of all agreed project fees, the Client receives full ownership and intellectual property rights to the custom application code, bespoke designs, and digital assets created specifically for the project.

AshuTech Retained Property: AshuTech retains all ownership rights in pre-existing frameworks, open-source utilities, proprietary algorithms, and general developer tools utilized during development. The Client is granted an irrevocable, perpetual, non-exclusive license to use such tools as integrated into the final deliverable.

8. Third-Party Services & APIs

Custom software often relies on third-party services (e.g., cloud hosting, database providers, Google Play Console, OpenAI, Firebase, payment gateways). The Client is responsible for maintaining their own accounts and payment obligations with such third-party providers. AshuTech is not liable for service downtime, rate limits, policy changes, or price increases imposed by third-party platforms.

9. Cancellation & Refund Terms

Either party may terminate an engagement upon written notice. For detailed terms regarding cancellation eligibility, pro-rata assessments, and the 5–7 business day refund timeline, please refer directly to our Refund & Cancellation Policy, which is incorporated into these Terms.

10. Warranty & Limitation of Liability

AshuTech warrants that services will be performed with professional competence in accordance with modern software standards. Unless otherwise specified in writing, all software includes a 14-day warranty period following final delivery to fix reproducible bugs directly attributable to the agreed scope.

To the maximum extent permitted by applicable Indian law, AshuTech shall not be liable for any indirect, incidental, or consequential damages, including loss of business profits, data corruption, or downtime arising from software use or hosting failure. AshuTech's total cumulative liability under any claim shall not exceed the total fees paid by the Client for the specific project.

11. Governing Law & Jurisdiction

These Terms and any disputes arising out of or related to our services shall be governed by and construed in accordance with the laws of India. The courts located in Banka / Bihar, India shall have exclusive jurisdiction over any legal proceedings arising hereunder.
